Terms of Service

These Terms of Service ("Terms") govern your use of the NairAlpha platform operated by NairAlpha Analytics Ltd ("NairAlpha", "we", "us"). By creating an account, starting a trial, or subscribing to any paid plan, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

1. The service

NairAlpha provides quantitative research, factor scores, macro expectations, and auction forecasts covering Nigerian capital markets. The platform is a software-as-a-service product delivered over the public internet at www.nairalpha.com and related subdomains.

2. Not investment advice

NairAlpha is not a licensed investment advisor, broker, dealer, or fund manager. All scores, signals, forecasts, backtests, rankings, and model outputs are quantitative research for informational and educational purposes only. They are not a recommendation to buy, sell, or hold any security, and they are not tailored to your specific investment objectives, financial situation, or needs. Past performance, walk-forward results, and backtest figures do not guarantee future results. Investing in securities involves risk of loss, including loss of principal. You should consult a licensed investment advisor before making any investment decision.

3. Accounts, trials, and paid subscriptions

3.1 Account creation

You create a NairAlpha account by signing in with your email. We use magic links — there is no password. Each sign-in is bound to the specific device you signed in from. You are responsible for keeping your email inbox and signed-in devices secure.

3.2 Free trial

New accounts receive a 14-day free trial of the Investor tier. The trial starts automatically the first time you sign in and ends 14 calendar days later. No payment information is required to start the trial. If you do not subscribe before the trial ends, your account reverts to the Free tier with limited access.

3.3 Paid subscriptions

Paid plans are billed in Nigerian Naira (NGN) through our payment processor, Paystack Payments Ltd. Plans can be billed monthly or annually; the cycle you choose is displayed at checkout before you confirm payment. Each successful payment entitles you to access the purchased tier for the corresponding cycle length.

3.4 Renewals

We will send a renewal reminder by email at least 3 days before your access period ends. You can renew at any time from the pricing page or your account page. Paystack inline checkout is a one-off charge — access does not auto-renew unless you explicitly opt in to a stored instrument on the Paystack vault.

3.5 Cancellation

You can cancel future renewals at any time from your account page at /account. Cancellation stops future renewal reminders and prevents automatic charges on stored instruments, if any. Your current paid period continues until its scheduled end date — cancellation does not shorten access you have already paid for.

4. Acceptable use

You agree that you will not:

  • Use the platform for any unlawful purpose or in violation of any Nigerian or applicable foreign law.
  • Share your account credentials or sessions with anyone outside your household or employer's approved user list.
  • Scrape, mirror, resell, or re-publish any portion of the platform's data, signals, or model outputs without our written permission.
  • Attempt to reverse-engineer, decompile, or circumvent any access controls.
  • Use the platform to build a competing research product.

We may suspend or terminate an account that, in our reasonable judgement, violates these rules, with or without notice depending on severity.

5. Intellectual property

NairAlpha and its licensors retain all rights, title, and interest in the platform, including the factor models, backtest engine, forecast models, scoring methodology, and all derived content. Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access the platform for your own research and investment decision-making.

6. Refunds

Refund terms are set out in full in our Refund Policy, which forms part of these Terms.

7. Warranties and liability

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that any signal, forecast, or score will produce any particular investment outcome.

To the maximum extent permitted by law, NairAlpha's total aggregate liability to you under or in connection with these Terms is limited to the amount you actually paid to NairAlpha in the 12 months preceding the event giving rise to the claim. In no event will NairAlpha be liable for lost profits, lost investment opportunities, indirect, consequential, special, or punitive damages.

8. Indemnity

You agree to indemnify and hold NairAlpha harmless from any claim, loss, or expense arising out of your breach of these Terms or your misuse of the platform.

9. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms will be resolved by the courts of Lagos State, Nigeria, except that either party may seek injunctive relief in any court of competent jurisdiction.

10. Changes

We may update these Terms from time to time. Material changes will be communicated by email to your registered address at least 14 days before they take effect. Your continued use of the platform after a material change constitutes acceptance of the updated Terms.
